1. Agreement
These Terms & Conditions (“Terms”) govern access to and use of the CanU websites, applications, and related services (collectively, the “Service”) offered by the CanU operating entity (“CanU,” “we,” “us,” or “our”). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility and authority
You represent that you are at least 18 years old and have legal capacity to enter into these Terms. If you register or manage an account on behalf of a family member, care network, or organisation, you represent that you have authority to bind that party where required.
3. The Service (not medical care)
CanU provides software for care coordination, communication, and record-keeping among authorised users. The Service does not provide medical, nursing, diagnostic, or emergency services. It is not a substitute for professional healthcare advice or emergency services (e.g. 995 in Singapore, 999 in Hong Kong). Always seek qualified clinicians for medical decisions; call local emergency numbers when urgent help is needed.
4. Accounts, roles, and security
You are responsible for safeguarding credentials and for activity under your account. You must provide accurate registration information and promptly update it. CanU may offer role-based access; you must only invite or grant access to people who are appropriately authorised to view or contribute to the information involved.
5. Acceptable use
You agree not to misuse the Service, including by: violating applicable law; infringing others' rights; uploading malware; attempting unauthorised access; scraping or reselling access except as permitted; harassing users; or processing personal data in the Service without a lawful basis and appropriate notices/consents under applicable privacy laws.
6. Third-party services
The Service may integrate with or link to third-party tools (for example messaging, cloud infrastructure, or identity providers). Those services are governed by their own terms and privacy notices. CanU is not responsible for third-party services you choose to use.
7. Fees
If CanU charges fees, they will be described at checkout or in an order form. Taxes may apply. Unless stated otherwise, fees are non-refundable except where required by applicable consumer law in your jurisdiction.
8. Intellectual property
CanU and its licensors own the Service, branding, and content we provide (excluding your content). Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You retain rights in information you submit; you grant CanU a licence to host, process, and display that information as needed to operate and improve the Service.
9. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” CanU disclaims implied warranties such as merchantability, fitness for a particular purpose, and non-infringement where allowed. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory laws (including consumer protection laws) applicable to you.
10. Limitation of liability
To the extent permitted by applicable law, CanU will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Aggregate liability for claims relating to the Service in any twelve-month period is capped at the greater of (a) the fees you paid to CanU for the Service in that period or (b) a nominal amount to be set by your legal counsel if the Service is free — replace this bracket with your chosen cap after legal review. These limits do not apply where prohibited by mandatory law.
11. Indemnity
You will defend and indemnify CanU against third-party claims arising from your misuse of the Service, your content, or your violation of these Terms or applicable law, to the extent permitted by the laws that apply to you (including fairness constraints under Singapore and Hong Kong consumer regimes where applicable).
12. Suspension and termination
We may suspend or terminate access for breach, risk, or legal requirements. You may stop using the Service at any time. Provisions that by their nature should survive (e.g. disclaimers, liability caps where valid, indemnity, governing law) will survive termination.
13. Singapore — regulatory context
If you are located in or ordinarily resident in Singapore, you acknowledge that: (a) personal data handled through the Service may be subject to the Personal Data Protection Act 2012 (PDPA) — see our Privacy Policy for how we approach collection, use, and disclosure; and (b) nothing in these Terms limits non-waivable rights you may have under Singapore consumer protection legislation (including unfair practice provisions where relevant). Your legal adviser should confirm governing law, venue, and any industry-specific obligations.
14. Hong Kong — regulatory context
If you are located in or ordinarily resident in Hong Kong, you acknowledge that: (a) personal data may be subject to the Personal Data (Privacy) Ordinance (Cap. 486) (PDPO) — see our Privacy Policy for data handling principles and your access/correction rights; and (b) mandatory provisions of Hong Kong law that apply to the supply of services to consumers may apply notwithstanding these Terms. Your legal adviser should confirm governing law, venue, and sector-specific duties (for example if health-related data or regulated services are involved).
15. Governing law and disputes (template)
Replace this section with advice from counsel. Common patterns include: (a) a single chosen jurisdiction for a named contracting entity; (b) non-exclusive courts in Singapore or Hong Kong; or (c) arbitration under SIAC/HKIAC rules. Ensure the clause aligns with where CanU is incorporated, where data is processed, and mandatory consumer rules for your users.
16. Changes
We may update these Terms by posting a revised version and updating the “Last updated” date. For material changes, we may provide additional notice where required by law. Continued use after the effective date constitutes acceptance unless applicable law requires a different process.
